TERMS OF USE OF JREALTY WEBSITE

1. BINDING EFFECT. This is a binding agreement. By browsing or using the Internet website located at www.jrealty.org (the “Site”) or any services provided in connection with the Site (the “Service”), you agree to abide by these Terms of Use, as they may be amended by JRealty Property Management (“JRealty” or “Company”) from time to time in its sole discretion. Company will post a notice on the Site any time these Terms of Use have been changed or otherwise updated. It is your responsibility to review these Terms of Use periodically, and if at any time you find these Terms of Use unacceptable, you must immediately leave the Site and cease all use of the Service and the Site. YOU AGREE THAT BY USING THE SERVICE YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD AND THAT YOU ARE LEGALLY ABLE TO ENTER INTO THIS AGREEMENT.

2. PRIVACY POLICY. Company respects your privacy and permits you to control the treatment of your personal information. A complete statement of Company’s current Privacy Policy can be found on the Site. JRealty’s Privacy Policy is expressly incorporated into this Agreement by reference. When you are required to open an account to use or access the Site or Service, you must complete the registration process by providing the complete and accurate information requested on the registration form. For certain Site services, you may also be asked to provide a user name and password. You are entirely responsible for maintaining the confidentiality of your password. You may not use the account, username, or password of someone else at any time. You agree to notify Company immediately of any unauthorized use of your account, user name, or password. Company shall not be liable for any loss that you incur as a result of someone else using your password, either with or without your knowledge. You may be held liable for any losses incurred by Company, its affiliates, officers, directors, employees, consultants, agents, and representatives due to someone else’s use of your account or password.

3. USE OF SOFTWARE. Company may make certain software available to you from the Site. If you download software from the Site, the software—including all files and images contained in or generated by the software—and accompanying data (collectively, “Software”) are deemed to be licensed to you by Company for your personal, noncommercial, home use only. Company does not transfer either the title or the intellectual property rights to the Software, and Company retains full and complete title to the Software as well as all intellectual property rights therein. You may not sell, redistribute, or reproduce the Software, nor may you decompile, reverse-engineer, disassemble, or otherwise convert the Software to a human-perceivable form. All trademarks and logos are owned by Company or its licensors and you may not copy or use them in any manner.

4. USER CONTENT. You grant Company a license to use any materials you post to the Site or Service. By posting, downloading, displaying, performing, transmitting, or otherwise distributing information or other content (“User Content”) to the Site or Service, you grant Company, its affiliates, officers, directors, employees, consultants, agents, and representatives the right to use User Content in connection with the operation of its Internet business, including the right to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate, and reformat User Content. You will not be compensated for any User Content. You agree that Company may publish or otherwise disclose your name in connection with your User Content. By posting User Content on the Site or Service, you warrant and represent that you own the rights to the User Content or are otherwise authorized to post, distribute, display, perform, transmit, or otherwise distribute it.

5. COMPLIANCE WITH INTELLECTUAL PROPERTY LAWS. All content on the Site (collectively, “Content”), such as text, graphics, logos, icons, images, audio and video clips, digital downloads, data compilations, and software, is the property of Company or its licensors, and the compilation of Content on the Site is Company’s exclusive property, protected by copyright laws. We grant you a limited, non-exclusive, revocable license to access and use the Content for personal purposes only. No other uses are permitted without our express written consent. You agree to comply with all applicable copyright and intellectual property laws when using the Site and Service.

6. INAPPROPRIATE CONTENT. You shall not post or distribute any Content that (a) is libelous, defamatory, obscene, pornographic, abusive, or threatening; (b) advocates or encourages conduct that could constitute a criminal offense or violate any law; or (c) advertises or solicits funds for goods or services. Company reserves the right to remove any Content that violates these terms and to terminate access to the Site if necessary.

7. COPYRIGHT INFRINGEMENT. Company has procedures for responding to allegations of copyright infringement. If you believe that your or a third party’s copyrighted work has been infringed, you must provide Company with: (a) your signature; (b) identification of the copyrighted work(s); (c) identification of the infringing material and sufficient information to locate it; (d) your contact information; (e) a statement of your good faith belief that the use of the material is not authorized; and (f) a statement, under penalty of perjury, that the information in your notice is accurate. 8. ALLEGED VIOLATIONS. Company reserves the right to terminate your use of the Site and Service if you violate these Terms of Use. We may review your account and records to investigate complaints or allegations of abuse, and we may terminate your account immediately if we find any violation.

9. NO WARRANTIES. THE SITE AND SERVICE ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. YOU ASSUME ALL RISKS ARISING FROM YOUR USE OF THE SITE OR SERVICE, AND COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

10. LIMITED LIABILITY. IN NO EVENT SHALL COMPANY BE LIABLE FOR ANY DAMAGES ARISING OUT OF YOUR USE OF THE SITE OR SERVICE, INCLUDING INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. AFFILIATED SITES. Company is not responsible for third-party websites linked from the Site. We do not guarantee the accuracy, currency, or quality of information on those sites.

12. PROHIBITED USES. You are prohibited from bypassing any security measures or attempting to access content not intended for you. Unauthorized actions may subject you to civil or criminal liability.

13. INDEMNITY. You agree to indemnify and hold Company harmless from any claims, losses, or damages arising from your use of the Site or violation of these Terms of Use.

15. GOVERNING LAW. These Terms of Use are governed by the laws of the United States and the State of California. You consent to the exclusive jurisdiction of the courts located in Los Angeles, California.

16. SEVERABILITY; WAIVER. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. No waiver shall be effective unless made in writing.

17. NO LICENSE. Nothing in these Terms grants you a license to use any trademarks, service marks, or logos owned by Company or its affiliates.

18. CALIFORNIA USE ONLY. The Site is operated from California and is intended for use only within that jurisdiction.

19. MODIFICATIONS. Company may revise these Terms of Use at any time by posting updates on the Site. Your continued use of the Site signifies your acceptance of any such changes.

20. ACKNOWLEDGEMENT. BY USING THE SITE OR SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE AND AGREE TO BE BOUND BY THEM.
